3. Intellectual Property Rights
Clear demarcation of intellectual property rights governs all engagements:
- XueSnow Proprietary Assets: All overarching growth methodologies, US Top 1% strategic frameworks, proprietary prompt architectures, workflow automation scripts, and analytical articles on xuesnow.com remain the exclusive intellectual property of XueSnow. Clients are granted a non-exclusive, non-transferable license to utilize these methods internally solely for their own operational benefit.
- Client Deliverables & Assets: The Client retains full ownership of all provided source materials (logos, raw brand assets, product specifications, trade secrets). Furthermore, all customized deliverables produced specifically for and paid in full by the Client (e.g., tailored market reports, final deployed landing pages, customized creative assets) become the Client's property upon completion of payment.
4. Confidentiality & Non-Disclosure (Implied NDA)
During the course of discussions and implementations, both parties may exchange confidential commercial data, including revenue figures, conversion metrics, customer acquisition costs, and upcoming product roadmaps.
XueSnow covenants to:
- Maintain strict confidentiality over all client business data using industry-standard security safeguards.
- Never deploy or cross-pollinate proprietary client data into projects for direct competitors.
- Publish case studies on xuesnow.com only with anonymized figures or upon explicit written client consent.
5. Warranties & Limitation of Liability
XueSnow delivers advisory services and technical architectures conforming to premier international standards. However, commercial marketing outcomes depend on market dynamics outside our unilateral control:
- Market Dependencies: Outcomes are influenced by third-party ad network algorithm shifts (Meta, Google, TikTok), broader consumer macroeconomic conditions, and the client's internal operational execution and product quality.
- Limitation of Liability: Under no circumstances shall XueSnow be liable for indirect, incidental, or consequential commercial damages or lost speculative profits. Our aggregate liability arising from any engagement shall not exceed the total advisory fees actually paid by the Client to XueSnow during the relevant project phase.
6. Fees, Invoicing & Delivery
Terms of payment are established in individual service agreements:
- Strategy Sprints and Initial Implementation: Invoiced according to milestone deliverables (e.g., deposit upon inception, remainder upon final handoff).
- Monthly Retainers: Invoiced at the beginning of each billing cycle to guarantee dedicated principal consultant capacity.
- All payments must be remitted via verifiable bank wire transfers accompanied by official invoicing documentation.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, referencing recognized international commercial standards for cross-border agreements.
Any dispute arising out of or in connection with these terms shall first be addressed through good-faith executive negotiation. If unresolved within thirty (30) days, the matter shall be submitted to binding arbitration before a competent commercial arbitration tribunal.
